1. Definitions

Nutri-Stop/We/Us: Refers to Nutri-Stop Ltd.
Venue/You: The party leasing Nutri-Stop vending machines.
Machine: Nutri-Stop vending machines for powdered supplement dispensing.
Agreement: The legal contract between Nutri-Stop and the venue, including any free trial period and subsequent lease terms.
Stripe Platform: The payment processing system used by Nutri-Stop to handle transactions and revenue sharing.

2. Responsibilities of Nutri-Stop

2.1. Nutri-Stop will:Deliver and install vending machines at the venue.Communicate efficiently with the venue regarding operations, support, and financial arrangements.Manage the agreed revenue share arrangement through the Stripe platform and deposit the venue’s share into the venue’s allocated bank account within the agreed time frame.Provide reasonable support for the vending machine, including repair or replacement in the event of a fault inherent to the machine, excluding damage caused by the venue, customers, or external factors.
2.2. Repairs and Maintenance:Nutri-Stop will endeavor to repair or replace a faulty machine within a reasonable timeframe, provided the fault is not due to misuse, external factors, or negligence by the venue or third parties.

3. Responsibilities of the Venue

3.1. The venue is responsible for:Purchasing and managing the stocking of supplements for the vending machine.Maintaining the machine, including cleaning and standard protection.Reporting any malfunctions or issues to Nutri-Stop promptly.Ensuring the machine is used appropriately by customers.
3.2. Lease Payments:The venue will pay a monthly lease fee for the machine after the free trial period. Payments will be deducted automatically from the venue’s allocated bank account on the agreed start date of the 24-month lease agreement.
3.3. Revenue Share:Nutri-Stop will distribute the agreed revenue share directly to the venue’s bank account. It is the venue’s responsibility to ensure the bank details provided are accurate.

4. Free Trial Period

4.1. Nutri-Stop offers a free trial period, the length of which will be agreed upon in writing between Nutri-Stop and the venue.
4.2. During the free trial period:The venue will not be charged for the lease of the machine.The venue may cancel the agreement free of charge and request the removal of the machine.
4.3. If the venue chooses to continue after the free trial period:The agreement will automatically transition into a 24-month lease term unless otherwise agreed in writing.
4.4. Cancellation After Free Trial:If the venue cancels the agreement after the trial period but before the end of the 24-month term, a cancellation charge will apply.

5. Payment and Revenue Management

5.1. Payment Terms:Lease payments will begin after the free trial period and will be deducted automatically from the venue’s allocated bank account.
5.2. Revenue Sharing:Nutri-Stop will manage all transactions through the Stripe platform and deposit the venue’s share of revenue into the venue’s bank account within the agreed timeframe.
5.3. Stripe Fees:Nutri-Stop will handle all associated Stripe transaction fees within Nutri-Stop’s share of the revenue.

6. Liability and Warranty

6.1. Nutri-Stop is responsible for the proper functioning of its machines under normal use. Nutri-Stop will not be liable for:Malfunctions caused by improper use, customer tampering, or external factors outside Nutri-Stop’s control.Loss of revenue or indirect damages resulting from machine downtime.
6.2. The venue accepts responsibility for the day-to-day management, standard protection, and cleaning of the machine.

7. Intellectual Property

Nutri-Stop vending machines are design protected in the UK and EU, and all intellectual property rights remain the exclusive property of Nutri-Stop Ltd. Unauthorised reproduction, modification, or distribution of our machines or branding is strictly prohibited.

8. Termination of Agreement

8.1. The venue may terminate the agreement during the free trial period without penalty.
8.2. After the free trial period:Cancellation before the end of the 24-month lease term will incur a cancellation fee.Nutri-Stop may terminate the agreement if the venue breaches its responsibilities or fails to make payments.

9. Governing Law

These terms and conditions are governed by the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to Terms

Nutri-Stop reserves the right to update these Terms and Conditions at any time. Significant changes will be communicated to venues, and continued use of our services constitutes acceptance of the updated terms.
